Golden Ocean to merge with CMB.Tech ‘as soon as possible’

THE merger between dry bulk owner Golden Ocean and Belgian giant CMB.Tech will be completed “as soon as possible” after a special general meeting for the New York-listed company slated for August 19, 2025.

CMB.Tech began purchasing Golden Ocean shares after it bought John Fredriksen’s stake for $1.2bn in early March 2025.

The Saverys-owned company continued to purchase Golden Ocean shares before signing a share-for-share agreement in April 2025, which sealed the merger. Golden Ocean shareholders will receive 0.95 CMB.Tech shares for every Golden Ocean share they own.

The merger was expected to be completed on August 20, 2025, Golden Ocean said, “assuming timely fulfilment of the relevant closing conditions”. That could also “tentatively” be the first day CMB.Tech trades on the Oslo Bors.

Golden Ocean said owners of Golden Ocean shares that trade on Nasdaq would receive CMB.Tech shares that trade on NYSE, while Golden Ocean shareholders with shares on Oslo Bors would receive CMB.Tech share on that same exchange.
